DENTwire, LLC — Unified Terms & Conditions

Effective Date: July 23, 2026

These Terms & Conditions (“Terms”) govern your access to and use of the websites, software, marketplace, subscription services, support interactions, and all related digital products (“Services”) provided by DENTwire, LLC (“DENTwire,” “we,” “our,” or “us”).

DENTwire, LLC operates under multiple business names, including its registered DBA DICKS.DENTAL (shop.dicks.dental). All references to DENTwire, LLC, DENTwire, or DICKS.DENTAL in these Terms refer to the same legal entity. Use of dentwire.net, shop.dicks.dental, or any associated platform constitutes acceptance of these unified Terms.

If you do not agree, you may not use the Services.

1. Unified Business Identity

DENTwire, LLC operates both DENTwire and DICKS.DENTAL as a single business entity. All products, services, subscriptions, licenses, marketplace transactions, support agreements, and billing activities offered through either brand are governed by these Terms.

Customers agree that:

the same Terms & Conditions apply to both brands,
the same billing rules and authorizations apply,
the same recurring payment rules apply,
the same support and service policies apply,
the same limitations of liability and disclaimers apply,
the same cancellation and renewal rules apply,
the same marketplace and vendor rules apply,
the same privacy and data handling rules apply.

No separate or conflicting terms exist for DICKS.DENTAL unless explicitly stated.

2. Eligibility & Authorized Use

You must be at least 18 years old to use the Services. Licensed dental professionals and non‑licensed users (including office staff, students, vendors, suppliers, administrative personnel, and general consumers) may access and use the Services.

Users are responsible for ensuring they have appropriate professional credentials when performing any clinical, diagnostic, or treatment‑related activities. DENTwire does not verify licensure and is not responsible for unauthorized clinical use.

3. Account Registration & Security

You agree to maintain accurate account information and safeguard your login credentials. You are responsible for all activity under your account.

4. Subscription Services

Some Services require a paid subscription. Subscriptions renew automatically unless canceled. Fees are billed in advance and are non‑refundable unless required by law.

5. E‑Commerce Transactions

Prices, availability, shipping, and vendor‑specific return policies may vary. DENTwire may act as a marketplace facilitator but is not the seller of vendor products.

6. Multi‑Vendor Marketplace Terms

Vendors are responsible for their listings, fulfillment, compliance, and customer service. DENTwire provides platform infrastructure only and is not responsible for vendor performance.

7. User Content & Data Ownership

You retain ownership of all uploaded content. You grant DENTwire a limited license to store, process, and transmit content for operational purposes.

8. Platform Use Restrictions

You may not misuse the platform, attempt unauthorized access, violate laws, or interfere with system performance.

9. Service Availability & Modifications

DENTwire may update, modify, or discontinue features at any time. Reasonable notice will be provided when possible.

10. Third‑Party Services

Use of integrated third‑party tools is at your own risk. DENTwire is not responsible for third‑party performance or privacy practices.

11. Confidentiality

Both parties agree to maintain the confidentiality of non‑public business information.

12. Security

You agree to maintain secure devices, passwords, and access controls when using the Services.

13. Termination

DENTwire may suspend or terminate access for violations, non‑payment, misuse, or security risks. Upon termination, you may request data export within a reasonable timeframe.

14. Disclaimers

The Services are provided “as is” and “as available.” DENTwire does not guarantee error‑free operation, vendor performance, or clinical outcomes.

15. Limitation of Liability

DENTwire’s total liability is limited to the amount paid by you in the previous 12 months. DENTwire is not liable for indirect, incidental, or consequential damages.

16. Indemnification

You agree to indemnify DENTwire for claims arising from your use of the Services or violation of these Terms.

17. Governing Law

These Terms are governed by the laws of the State of Ohio. Disputes shall be resolved in Ohio courts.

18. Changes to These Terms

Updates will be posted with a revised effective date. Continued use of the Services constitutes acceptance of updated Terms.

19. Payment Methods, Automatic Billing Authorization & Processing Fees

19.1 Storage and Use of Payment Methods

By paying any invoice issued by DENTwire or DICKS.DENTAL—whether online, through the platform, over the phone, or through any other communication channel—the customer authorizes DENTwire, LLC to store and use the payment method provided for future charges related to the same product, service, subscription, license, renewal, update plan, support contract, or any other associated or continuing obligation.

Stored payment methods may include, but are not limited to:

credit or debit cards
PayPal
Apple Pay
Google Pay
Stripe
other digital wallets or processors

19.2 Automatic Use for Recurring or Related Charges

DENTwire may automatically charge previously provided payment methods for:

recurring subscription fees,
software license renewals,
update and support contracts,
service agreements,
marketplace purchases,
orders verbally approved over a recorded phone line,
orders approved in writing through email, SMS, WhatsApp, Facebook Messenger, Instagram, LinkedIn, or similar communication platforms,
estimates or quotes accepted by the customer,
any invoice or order for which the customer has provided prior approval.

DENTwire may rely on any form of customer approval—verbal, written, electronic, or implied through continued use of the service—and is not required to obtain repeated or additional approvals for recurring or follow‑up charges.

19.3 Processing Fees

DENTwire may charge processing fees on any payment, including but not limited to:

credit card transactions,
digital wallet transactions,
third‑party payment processor transactions,
subscription renewals,
license renewals,
support contracts,
on‑demand services,
marketplace purchases.

Processing fees may vary depending on the payment method, processor, transaction type, or service category. DENTwire is not required to notify customers of changes to processing fees.

19.4 Customer Responsibility to Provide Alternative Payment Methods

If a customer does not wish for a previously provided payment method to be used for future charges, it is the customer’s responsibility to provide an alternative payment method before the next billing cycle. If no alternative payment method is provided, DENTwire may continue to use the original payment method for all related recurring or subsequent charges.

19.5 Billing Schedules & Renewal Dates

Billing schedules, renewal dates, subscription frequencies, and service periods may vary by product and may be displayed in the customer portal, estimate documents, or payment processor portals. These schedules may be updated or modified as needed to maintain service continuity.

19.6 Service Continuity & Customer Obligations

Automatic payments remain active until the customer cancels the applicable service or subscription, or transfers the license or service to another provider or reseller. Cancellation or transfer requests must be submitted before the next billing cycle to avoid additional charges.

19.7 Late Fees & Payment Failures

Invoices not paid by the due date may incur late fees. DENTwire may suspend or discontinue services immediately upon payment failure, without further notice, and without liability for any resulting business interruption or production delays.
